Effective Date: September 10, 2026
1. Introduction and Acceptance of Terms
These Terms of Service (“Terms”) govern the provision of services by North Shore Lensworks Inc. (“North Shore Lensworks Inc.,” “we,” “us,” or “our”) to clients, customers, website visitors, and any other users of our services (collectively, “you” or “Client”). By engaging our services, signing a quote or production agreement, paying any invoice, or otherwise using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms.
If you do not agree to these Terms, you must not use our services. Any additional proposal, statement of work, quotation, purchase order, production agreement, or other written service document issued by North Shore Lensworks Inc. may supplement these Terms. If there is a conflict, the signed written agreement or applicable statement of work will control to the extent of the conflict, unless otherwise expressly stated.
2. Scope of Services
North Shore Lensworks Inc. is a filmmaking-studio business providing a range of creative and production services, which may include:
- Brand films and commercial production;
- Corporate interviews and testimonial videos;
- Documentary filmmaking;
- Pre-production planning and creative development;
- On-location filming and studio production;
- Post-production editing and color grading; and
- Motion graphics and sound design.
The exact scope, deliverables, timelines, creative specifications, and technical requirements for any project will be set out in a proposal, quotation, statement of work, or other written agreement approved by both parties. Unless expressly included in writing, services do not include:
- Permits, location fees, union fees, talent or crew casting costs, music licensing fees, stock footage or stock image licensing, or third-party vendor costs;
- Translation, subtitling, closed captioning, or accessibility compliance work;
- Additional editing rounds beyond those included in the applicable project scope; or
- Archiving, long-term storage, or future restoration of project files.
We may use subcontractors, freelancers, equipment rental providers, and other third-party service providers to perform all or part of the services, provided that we remain responsible for the services we contract to provide, subject to these Terms and any applicable written agreement.
3. User Obligations and Responsibilities
You agree to cooperate with North Shore Lensworks Inc. in a timely and good-faith manner and to provide all information, approvals, assets, and access reasonably required for us to perform the services. Without limiting the foregoing, you are responsible for:
- Providing accurate, complete, and current information;
- Securing all necessary permissions, releases, licenses, consents, and authorizations for locations, people, music, trademarks, artwork, and other protected materials you supply or request us to use, unless we have expressly agreed otherwise in writing;
- Ensuring that any content, instructions, or materials you provide do not infringe the rights of any third party or violate applicable law;
- Reviewing and approving deliverables promptly so that project timelines are not delayed;
- Maintaining appropriate safety conditions at filming locations and informing us of any hazards, restrictions, or special requirements; and
- Making sure that your use of the final deliverables complies with all applicable laws, regulations, advertising standards, privacy rules, and platform policies.
You must not provide material that is unlawful, defamatory, harassing, deceptive, misleading, obscene, or otherwise objectionable. We may refuse, suspend, or terminate any project if we reasonably determine that continuing would violate law, infringe rights, present safety risks, or conflict with our professional standards.
4. Payment Terms and Conditions
Fees, deposits, payment schedules, and any additional charges will be stated in the applicable quotation, invoice, or written agreement. Unless otherwise agreed in writing:
- A non-refundable deposit may be required before work begins or production dates are reserved;
- Invoices are due upon receipt or by the stated due date, whichever is earlier;
- All fees are stated in Canadian dollars unless otherwise specified;
- Applicable federal and provincial taxes, including GST/HST and any other required taxes, will be added to invoices where applicable;
- Late payments may accrue interest at the rate stated on the invoice or, if none is stated, at the maximum lawful rate permitted under applicable law;
- We may suspend work, withhold deliverables, or reschedule production if payments are overdue; and
- You are responsible for any bank charges, wire transfer fees, chargeback fees, collection costs, and reasonable legal fees incurred by us in collecting overdue amounts, to the extent permitted by law.
Estimates are based on the project scope known at the time of quoting. If the scope changes, if additional revisions are requested, or if delays are caused by your actions or omissions, we may issue a change order or invoice for additional fees. Any additional work requested outside the original scope is billable at our then-current rates unless otherwise agreed in writing.
5. Cancellation and Refund Policy
Cancellations and postponements must be made in writing. Because filming, pre-production, staffing, scheduling, and third-party bookings often require advance commitments, cancellation and postponement fees may apply.
- Deposits are generally non-refundable to the fullest extent permitted by law and may be applied to costs already incurred and reserved production time;
- If you cancel after work has commenced, you are responsible for all non-cancellable costs, work completed to date, and any fees set out in the applicable agreement;
- If you postpone a shoot or project, we may charge rescheduling fees and/or retain portions of the deposit to cover costs incurred and reserved availability;
- No refund will be owed for completed work, approved work, or deliverables delivered in accordance with the agreed scope;
- Any refund, if granted at our discretion or required by law, will be limited to amounts actually paid for services not yet performed, less any costs, fees, and non-recoverable expenditures incurred.
If we must cancel due to circumstances within our control, we will use commercially reasonable efforts to reschedule the project or provide a refund or credit for unused services, as appropriate. Nothing in this section limits any mandatory consumer or statutory rights that cannot be waived under applicable law.
6. Liability Limitations
To the fullest extent permitted by applicable law, North Shore Lensworks Inc., including its directors, officers, employees, contractors, and agents, will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, loss of revenue, loss of goodwill, loss of data, business interruption, or reputational harm arising out of or relating to the services or these Terms, even if advised of the possibility of such damages.
To the fullest extent permitted by law, our total aggregate liability arising out of or in connection with the services or these Terms will not exceed the amounts actually paid by you to North Shore Lensworks Inc. for the specific services giving rise to the claim in the three (3) months preceding the event giving rise to liability, or the minimum amount required by law if a lower limitation would be unenforceable.
We are not responsible for:
- Any delays caused by you, third parties, weather, venue restrictions, equipment failures outside our reasonable control, or inaccurate information supplied by you;
- Third-party services, including locations, talent, permits, platforms, software, music licensors, or distribution channels;
- Unavailability of personnel, locations, or assets due to events beyond our reasonable control;
- Client-approved edits, final deliverables, or content used after approval; or
- Any claim arising from materials provided by you or content you have approved, supplied, or instructed us to use.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable Canadian law, including liability for fraud, wilful misconduct, or gross negligence to the extent such limitation is prohibited by law.
7. Intellectual Property Rights
Unless otherwise agreed in writing, all pre-existing intellectual property, including creative methodologies, workflows, templates, tools, software, know-how, and materials owned or developed independently by North Shore Lensworks Inc. remain our property.
Upon full payment of all amounts due, and subject to these Terms and any separate written agreement, we grant you a non-exclusive, non-transferable license to use the final deliverables for the purposes specified in the applicable agreement. Unless expressly stated otherwise in writing, this license does not include raw footage, project files, editable source files, underlying project assets, or working materials, which remain our property or the property of our licensors.
You acknowledge that we may retain ownership of raw footage, project files, unused footage, outtakes, motion graphics elements, and production materials, except where a separate written transfer of rights is explicitly agreed. Any assignment of copyright or transfer of ownership must be in writing and signed by an authorized representative of North Shore Lensworks Inc.
You grant North Shore Lensworks Inc. a worldwide, non-exclusive, royalty-free license to use your logos, trademarks, name, likeness, and supplied materials solely as necessary to perform the services and, unless you opt out in writing or a separate agreement states otherwise, for portfolio, reel, award submission, case study, and marketing purposes, provided that such use does not disclose confidential information or violate applicable privacy obligations.
If the project involves third-party music, fonts, stock media, or other licensed content, use of those materials is subject to the terms of the applicable third-party license. You are responsible for securing any rights not expressly included in our agreement.
8. Data Protection and Privacy
North Shore Lensworks Inc. respects privacy and will handle personal information in accordance with applicable Canadian privacy laws, including the Personal Information Protection and Electronic Documents Act (PIPEDA) and any applicable provincial privacy legislation.
We may collect, use, disclose, and retain personal information for purposes that include:
- Communicating with you about projects, estimates, invoices, and scheduling;
- Producing, editing, delivering, and archiving project materials as agreed;
- Administering our business operations, accounting, and legal compliance;
- Protecting our rights, enforcing these Terms, and preventing fraud or misuse; and
- Marketing our services, where permitted by law and subject to any applicable consent requirements.
We will use reasonable safeguards appropriate to the sensitivity of the information to protect personal information against loss, unauthorized access, disclosure, alteration, or misuse. However, no method of transmission or storage is completely secure, and we cannot guarantee absolute security.
You are responsible for obtaining any required consents and releases from individuals appearing in, heard in, or otherwise identifiable in project materials, unless we have expressly agreed in writing to obtain them. Where the project requires capture of personal information or identifiable images or audio, you acknowledge that you may be the custodian or controller of that information for certain purposes and must ensure lawful collection and use.
For questions regarding privacy or to request access to personal information we hold, please contact us using the details in Section 12.
9. Force Majeure
North Shore Lensworks Inc. will not be liable for any failure or delay in performance caused by events beyond our reasonable control, including but not limited to acts of God, fire, flood, severe weather, earthquake, pandemic, epidemic, public health orders, war, terrorism, civil unrest, labor disputes, government action, transportation disruptions, utility failures, internet outages, equipment shortages, or the failure of third parties to perform.
Where a force majeure event affects performance, we may suspend services, reschedule work, revise timelines, or terminate the affected project if performance becomes impracticable or commercially unreasonable. Any amounts already paid for work performed, committed costs, and non-cancellable expenses may remain payable, subject to applicable law and the terms of any separate written agreement.
10. Changes to Terms
We may update or modify these Terms from time to time to reflect changes in our services, business practices, or applicable law. The revised Terms will be posted or otherwise made available with an updated effective date.
Changes will apply prospectively from the effective date of the updated Terms unless otherwise required by law or expressly stated in writing. Your continued use of our services after the updated Terms become effective constitutes acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using our services and, where applicable, terminate any future engagements in accordance with the applicable agreement.
11. Applicable Law and Jurisdiction
These Terms and any dispute arising out of or relating to them, the services, or any related agreement will be governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of laws principles.
You agree that the courts located in British Columbia, Canada, will have exclusive jurisdiction over any dispute, claim, or proceeding arising out of or relating to these Terms or the services, unless applicable law requires otherwise. Nothing in this section limits any rights to seek injunctive relief, equitable relief, or other urgent remedies in a court of competent jurisdiction.
